Opening note

A practical starting point for international investors

Cambodia offers opportunities for investors who combine a sound commercial plan with careful legal preparation. This guide explains how to assess an opportunity, establish a business, secure lawful land use, evaluate incentives and protect an investment through its operating life.

My recommendation is to verify the customer demand, the rights being acquired and the required approvals before committing substantial capital.

National advantages become valuable when they can be demonstrated in the economics and documents of your particular project.

The investment proposition

What to test before the advantage is treated as yours

01

Workforce

Match available skills, training needs and retention costs to the business.

02

Business ownership

Full foreign ownership is permitted in almost all sectors; confirm activity-specific rules. [1]

03

Investment incentives

Verify eligibility and approval conditions for the proposed project. [2]

04

Regional connectivity

Cost actual routes, freight, clearance and delivery times.

05

Trade agreements

Check product-specific tariffs and origin requirements. [6]

06

Cleaner electricity

Verify site-level supply, tariffs and evidence of renewable sourcing.

01

Market entry

Choosing how to enter the market

Start with the business activity, customers and capital required. Decide whether to establish a new operation, acquire an existing business or work with a local partner. The choice affects liabilities, governance, approvals and the ability to exit.

Select the structure before signing

Route Main issue to evaluate
New Cambodian companyOwnership eligibility, governance, funding and responsibility for operations.
Acquisition of sharesHistorical tax, employee, contractual and regulatory liabilities within the target.
Acquisition of assetsTransferable ownership, contract assignments, employee arrangements and required approvals.
Joint venturePartner contributions, decision rights, deadlock remedies and exit mechanics.

A local partner should be chosen for a verified contribution such as operating expertise, distribution or lawful site access. Full foreign ownership is generally available, subject to sector restrictions; incorporating locally does not automatically confer Cambodian nationality for land ownership. [1, 3]

Prepare the establishment file

  • ◆Identify the shareholders, ultimate beneficial owners, directors and authorised signatories. Prepare identity and corporate documents with any required translation or authentication.
  • ◆Confirm the registered address, permitted business activities, capital arrangements and articles. For a joint venture, negotiate the shareholder agreement before material funding.
  • ◆Map commercial registration, tax registration, labour formalities and every activity-specific licence. Use the official online registration service where applicable. [4]

Separate the approvals

Company registration, investment-project registration and permission to operate are separate questions. A CDC investment certificate does not remove other permit requirements. Assess construction, environmental, sector and local approvals independently. [3]

Ask your adviser for a written approval matrix naming each authority, prerequisite, filing owner, estimated cost and dependency. Treat processing estimates as planning assumptions until confirmed for your application.

02

Land and due diligence

Securing land and verifying the transaction

Foreign investors must distinguish ownership of a business from ownership of land. Article 21 of the Investment Law reserves investment-related land ownership to Cambodian nationals and provides for lawful land-use arrangements, including leases. [3]

Protect the right to use the site

For a lease, verify the lessor’s title and authority, the parcel boundaries, access and permitted use. Have counsel confirm the term, renewal provisions, registration requirements and enforceability. A stated renewal option should not be presented as an already secured additional term.

Negotiate construction rights, utility access, assignment, financing rights where available, treatment of improvements, termination compensation and remedies if the lessor defaults. Do not rely on informal nominee arrangements or undisclosed control promises as a substitute for lawful rights.

Review the documents and the site

Land

Obtain title records and cadastral information; check mortgages, disputes, occupiers, restrictions and third-party rights. Inspect the physical site and access.

Counterparty

Verify incorporation, ownership, signing authority, licences, financial position and relevant disputes. Understand who receives the funds.

Business

Reconcile customer contracts, revenue, bank records, debts, taxes, employees and supplier commitments. Independent technical and financial reviews complement legal work.

Development

Verify planning, building and environmental requirements; assess flood exposure, drainage, waste, utilities and relocation issues before fixing the budget.

Control payment and completion

A transaction agreement should state what must be delivered before payment, how unmet conditions are handled and when the investor can withdraw. Use staged payments or an appropriate escrow arrangement where feasible. Release funds against verified deliverables and agreed completion documents.

Due diligence should end with a decision report: proceed, renegotiate, defer or stop. List unresolved issues, the cost of curing them, who bears that cost and which matters must be resolved before closing.

03

Incentives and tax

Evaluating incentives and tax obligations

A Qualified Investment Project, or QIP, is a project with the relevant investment registration certificate. Incentives attach to eligible activities and approved conditions; they are not automatically available to every newly incorporated company. [3]

Standard income tax exemption option

The CDC publishes exemption periods of 9 years for Group 1, 6 years for Group 2 and 3 years for Group 3, beginning with first revenue from the business activity. The classification must be checked against the applicable activity schedules. [2]

First two years

25%

of otherwise applicable income tax

Next two years

50%

of otherwise applicable income tax

Final two years

75%

of otherwise applicable income tax

These percentages describe proportions of the tax otherwise due, not standalone corporate tax rates. A general claim of a 12 year tax holiday should not be used in a financial model without identifying its specific legal basis and eligibility. [2]

Alternative and additional incentives

An alternative option includes special depreciation and enhanced deductions for specified expenses. Approved import exemptions and other benefits can depend on project type, the items imported and their use. Compare the options against your projected profits, expenditure and cash flow. [2]

Budget for obligations that remain

  • ◆Commission a tax assessment covering income tax, VAT, withholding, payroll, patent tax, property or transfer taxes and customs duties as applicable. Verify current rates and relief with the GDT. [5]
  • ◆Model dividend distributions, shareholder loans, related-party pricing and treaty relief separately. Do not assume a QIP income-tax exemption removes every tax on payments.
  • ◆Set up accounting, invoices, filings, audit arrangements where required and evidence supporting incentive claims. Record ongoing QIP reporting obligations.

Before investing, obtain written confirmation of the activity category, selected incentive option, start trigger, import eligibility and conditions for retaining the benefit. Review the treatment of any future expansion, acquisition or restructuring.

04

Funding and trade

Funding the business and reaching customers

Design a documented funding route

Choose equity, debt or a combination based on the business needs and a tax and legal assessment. Document capital subscriptions and loan terms, including currency, interest, repayment, security where available and approval requirements. Keep personal funds and company transactions clearly separated.

Prepare a banking file with ownership information, identity documents, source of funds, source of wealth where requested, business purpose and supporting contracts. Discuss account-opening and international transfer requirements with the bank before scheduling a transaction. Account acceptance is a bank decision.

Plan profit transfers and eventual exit proceeds

Article 19 of the Investment Law permits specified investment-related currency transfers through authorised intermediary banks in accordance with applicable law. This does not dispense with tax obligations or bank documentation. [3]

Maintain a traceable record of the original investment, loan disbursements, accounts, taxes and distributions. Agree the documentary requirements for outbound transfers before an urgent payment or exit arises.

Verify the export proposition

Cambodia participates in trade arrangements including ASEAN frameworks, RCEP and agreements with China, South Korea and the UAE. The Ministry of Commerce portal provides agreement and tariff information. [6]

Preferential treatment depends on the applicable product rules and origin evidence. A Cambodian registration or packing operation alone does not establish eligibility. Check the tariff classification, production process, input origins, certification and destination requirements. [6]

  • ◆Obtain buyer specifications, quality requirements and realistic payment terms before choosing equipment.
  • ◆Compare landed cost with competing suppliers, including freight, insurance, duties, storage, losses and financing.
  • ◆Stress-test margins against lower sales, delayed receipts, higher costs and exchange-rate movements. Identify the working capital needed during a difficult operating period.

A credible investment case identifies the customer, the margin and the path to collecting payment. Market access is useful only when a product can compete and comply in its destination market.

05

People and operations

Preparing people and operations

Build the workforce plan

Estimate skills, headcount, wages, training, housing or transport needs and retention costs. Prepare employment contracts and a compliance calendar for working time, leave, payroll, termination and workplace safety. Confirm labour registration and applicable social-security obligations before hiring.

Foreign personnel require a separate review of immigration status, work permits and employer quota requirements. A visa or ownership of a business should not be assumed to replace work authorisation. Confirm current requirements and deadlines through the Ministry of Labour and its foreign-worker system. [7]

Check the location through actual operating costs

Electricity

Obtain the proposed tariff, connection cost, capacity and service terms. Assess interruption risk and backup requirements.

Transport

Test delivery routes, seasonal access, port or border clearance and customer lead times.

Premises

Verify water, waste treatment, fire safety, equipment access and room for expansion.

Digital operations

Assess connectivity, access controls, backups, confidential information and the rules relevant to the activity.

Use green claims carefully

Government reporting describes renewables as more than 63 percent of Cambodia’s domestic installed electricity capacity. Installed capacity differs from electricity actually generated or consumed at a particular facility. [9]

Investors should obtain site-specific evidence before claiming renewable electricity use or emissions reductions. Solar and batteries require an engineering and regulatory assessment, including permitted supply arrangements and lifecycle replacement costs.

Make compliance part of operations

Assign responsibility for permit renewals, tax and labour filings, environmental conditions, insurance and corporate records. Require documented approvals for significant payments and contracts. Verify agents, suppliers and counterparties before engagement and record legitimate fees and services.

Before launch, run a readiness review. Confirm that the approvals, staff, customer contracts, utilities and emergency arrangements needed for the first day are actually in place.

06

Contracts and exit

Protecting contracts and planning an exit

Set governance before capital is committed

For a joint venture, agree the board, voting thresholds, reserved matters, information rights, funding obligations and consequences of non-performance. Specify how budgets, related-party dealings, new borrowing and asset sales will be approved.

Distinguish ownership returns from salaries, advisory fees and repayment of the purchase price. Document each payment’s purpose and treatment. Address dilution, dividends, deadlock, transfer restrictions and valuation methods.

Match each contract to its commercial risk

Contract Protection to negotiate
Investment or acquisitionCompletion conditions, disclosures, warranties, indemnities and remedies.
Land use or premisesLawful rights, access, improvements, assignment and termination consequences.
Construction or equipmentSpecifications, milestones, delay remedies, testing and defects.
Customer or supplierQuality, delivery, payment security, interruption and termination.
FinancingRepayment, default, security, registration and enforcement where available.

Design dispute resolution for the assets involved

Cambodia has a Commercial Arbitration Law and the National Commercial Arbitration Centre offers arbitration and mediation services. The appropriate forum depends on the transaction and the dispute. [8]

Counsel should align the governing law, arbitration institution and rules, seat, language, interim relief and enforcement plan. Arbitration does not guarantee payment or remove enforcement procedures. Identify the counterparty assets against which a judgment or award could realistically be enforced.

Plan how capital can be recovered

Consider dividends, a negotiated share sale, asset sale or orderly closure. Verify buyer approvals, contract assignments, land-use continuity, creditor obligations, taxes and incentive treatment. A promised buyback is only as credible as the obligor’s resources and enforceable commitment.

Maintain an exit file from the start: ownership records, financial statements, permits, key contracts, funding evidence and unresolved liabilities. This makes later financing and sale discussions easier to substantiate.

07

Action checklist

Your first investment review

Use the following planning sequence to decide whether a project deserves further capital. The periods are suggested work stages, not government processing commitments.

First 30 days

Define objectives and budget; screen the sector, partner and site; identify customers and approval requirements.

Days 31 to 60

Complete initial legal, tax, commercial and technical reviews; compare structures; negotiate principal terms.

Days 61 to 90

Resolve critical issues; finalise contracts and funding conditions; submit applicable filings; approve a launch plan if ready.

Before releasing substantial funds

  • ◆Identify the asset or rights being acquired and verify the seller’s authority.
  • ◆Confirm lawful site use, material approvals and outstanding conditions.
  • ◆Verify customer demand, operating costs, working capital and downside scenarios.
  • ◆Document ownership, governance, funding and payment milestones.
  • ◆Confirm tax treatment and any incentive eligibility in writing.
  • ◆Agree dispute remedies, enforcement prospects and an achievable exit route.

Opportunities to examine

Illustrative concepts include cashew processing with verified supply and buyers, industrial solar and storage with lawful sales arrangements, and warehousing or cold chain backed by customer contracts. Cambodia’s cashew policy supports local processing, while the investment board identifies logistics opportunities. These concepts are not approved projects or investment offers. [10, 11]

How SK Law Office can assist

SK Law Office can scope legal support for market entry, transaction due diligence, investment structures, land-use documents, regulatory applications, commercial contracts and litigation or arbitration. Financial, engineering and specialist tax work should be assigned to appropriately qualified professionals as needed.

An initial instruction should identify your sector, proposed investment amount, source of funding, intended location, partner, expected customers and timetable. Legal services, fees, conflicts and responsibilities should be confirmed in a written engagement.
